I. Your agreement with MachX
These Terms of Service (“Terms”) are an agreement between you and Eirene Labs Inc., the operator of MachX and MachX Pro (“MachX,” “we,” “us,” or “our”). They apply to the websites, account experiences, communications, support features, applications, and related services that link to these Terms (collectively, the “Services”).
By accessing or using a Service, you agree to these Terms and acknowledge the MachX Privacy Policy. If you use a Service for an organization, you represent that you are authorized to accept these Terms on its behalf. An order, enterprise agreement, program agreement, or other written contract may include additional terms; that agreement controls where it expressly conflicts with these Terms.
Please read these Terms carefully. If you do not agree, do not access or use the Services.
II. Eligibility and authorized access
By using this MachX website (the “Website”), you represent and warrant that you have reached the age of majority under applicable law, are legally capable of entering into a binding contract with us, and satisfy all other eligibility requirements in these Terms. If you do not meet all of these requirements, you must not access or use the Website.
The Services are not directed to children under 13. Club MachX enrollment requires you to confirm that you are at least 18 years old.
The Android and iOS apps may accept a membership waiting-list request from an eligible person who provides the required information and verifies the email address. Submitting or verifying a request does not create an authorized account, guarantee admission, or enroll you in Club MachX. MachX may review, prioritize, approve, decline, or close a request according to program availability and applicable requirements.
Some Services use a closed-account model. Access is limited to accounts that MachX or an authorized organization has approved in advance. The availability of a Microsoft, Google, Apple, or email sign-in option does not create a right to register, obtain access, or use a Service.
III. Accounts and security
You must provide accurate information, keep your identity-provider and recovery information secure, and promptly notify us if you suspect unauthorized access. You may not share an account, impersonate another person, circumvent access controls, or attempt to link a sign-in identity you do not control.
You are responsible for activity performed through your account to the extent permitted by law. MachX may require additional verification, invalidate sessions, restrict a sign-in method, or request action from an organization administrator when reasonably necessary to protect the Services or users.
Organization administrators may assign or remove access and roles, manage organization-provided accounts, and view information connected to their administrative responsibilities.
To operate and secure the Website, we use strictly necessary cookies and browser storage and process related technical data, which may include IP addresses. These technologies may maintain a requested session, protect sign-in and support features, and, where applicable, recognize a prior request or registration. Optional interface personalization and analytics—including measurement of Website use patterns—remain off unless you choose them through the MachX cookie controls; using the Website alone does not constitute consent to optional processing. You may revise your optional choices through the cookie controls in the footer and block or delete cookies and site storage through your browser settings. Blocking or clearing strictly necessary technologies may make sign-in, support, or related functionality unavailable. For details, see the cookies, browser storage, and analytics section of the Privacy Policy.
IV. Acceptable use
You may use the Services only for lawful, authorized purposes. You must not:
- interfere with, overload, disrupt, probe, scan, or test the vulnerability of the Services without written authorization;
- bypass rate limits, access restrictions, authentication, consent, safety, or security measures;
- introduce malware, destructive code, automated abuse, deceptive content, or material that violates another person’s rights;
- scrape, harvest, or use automated means to obtain accounts, personal data, content, model output, or service data except through an expressly authorized interface;
- reverse engineer or attempt to extract non-public source code, models, algorithms, or system prompts except where applicable law expressly permits it;
- use the Services to facilitate unlawful surveillance, discrimination, harassment, fraud, physical harm, match fixing, cheating, or violation of sporting rules; or
- misrepresent MachX output as a guaranteed result, medical diagnosis, official competition ruling, or substitute for qualified professional judgment.
You may link fairly and lawfully to the Website homepage, provided the link does not damage our reputation or suggest any association with, approval by, or endorsement from MachX where none exists. You must not establish a link from a website you do not own or control, frame the Website on another site, or deep-link to another part of the Website unless we authorize it in writing or the Website expressly provides a sharing link for that content. The site from which you link, and any material accompanying the link, must comply with this section and the standards for Your Content in Section V. We may withdraw linking permission at any time, and you agree to cooperate promptly in stopping any unauthorized framing or linking.
V. Your content, data, and uploads
You retain ownership of content you submit, such as messages, feedback, support attachments, training inputs, and media (“Your Content”). By submitting Your Content, you authorize MachX to collect, use, reproduce, host, store, transmit, adapt, display, and disclose it, and grant MachX a non-exclusive, worldwide, royalty-free license for those purposes, only as reasonably necessary to provide, secure, support, or maintain the Website feature or Service through which you submitted it, respond to your submission, or meet legal obligations. Where Your Content includes personal data, we process it in accordance with the Privacy Policy; this authorization does not replace any separate consent or other lawful basis required under applicable law.
You represent that you have the rights and permissions needed to submit Your Content and permit its processing. Do not upload unnecessary sensitive information, third-party confidential material, health records, biometric identifiers, competition footage, or personal data unless the relevant Service expressly requests it and you are authorized to provide it.
Feedback may be used without restriction or compensation, provided we do not publicly identify you as its source without permission.
VI. Performance information and responsible use
MachX may provide analytics, predictions, simulations, training suggestions, biomechanics observations, or other computer-generated information. These outputs depend on available data, assumptions, sensors, models, and user inputs and may be incomplete, inaccurate, or unsuitable for a particular situation.
MachX does not guarantee athletic outcomes, competitive results, opponent behavior, health outcomes, injury prevention, or regulatory compliance. The Services are not medical devices and do not provide medical diagnosis or treatment. Consult qualified coaches, medical professionals, governing bodies, and other appropriate experts before making decisions involving health, safety, training load, competition, or recovery.
You remain responsible for evaluating outputs, using appropriate supervision, following applicable sporting rules, and stopping activity that causes pain, injury, or unsafe conditions.
VII. Preview, beta, and experimental features
Some features may be identified as preview, beta, early access, experimental, or pre-release. They may be incomplete, change without notice, have limited support, or be discontinued. Unless we agree otherwise in writing, do not use a preview feature for safety-critical, medical, emergency, or production decisions, or with data you cannot replace.
VIII. Communications and Club MachX
We may send service messages needed to operate or secure your account, complete a request, confirm a subscription, respond to support, or provide material notices. You cannot opt out of an underlying notice that is necessary to deliver an active Service, but you may stop a particular communication channel where these Terms or applicable law allow it.
A membership waiting-list request requires a transactional verification email. The app may retain a read-only request receipt on the device until its storage is cleared or the app is uninstalled, and the request remains separate from authorized account credentials.
Marketing email communications require the applicable consent and email confirmation. You can unsubscribe using the unique link included in each marketing email. Club MachX benefits, availability, programs, merchandise, and early-access features may change and are not guaranteed until separately confirmed.
IX. Text messaging
If MachX offers a conversational text-messaging service and you choose to use it, these text-messaging terms, the remainder of these Terms, and the MachX Privacy Policy apply. The service may use SMS, MMS, or successor technologies to exchange messages between the mobile number you provide and an authorized MachX team member.
By providing a mobile number and opting in, you confirm that you are the subscriber or an authorized user of that number, authorize messages related to the conversation or service you requested, and consent to our use of an electronic record to document your agreement. If you give up or stop controlling that number, you must opt out or tell MachX. These terms cover conversational, person-to-person messaging only. They do not authorize marketing, promotional, automated, transactional, or other commercial text campaigns; any such program would require separate terms and any consent required by law.
MachX does not charge for this text-messaging service, but your wireless provider’s message, data, roaming, or other charges may apply. Message frequency varies according to your requests and the resulting conversation.
You may withdraw consent and stop messages by replying STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE, or by making another clear request to stop. We may send one non-promotional message confirming that we processed the request. Reply HELP for assistance or use MachX support. An opt-out applies to the conversation and MachX sending number from which you received the message, unless applicable law or the program notice gives it broader effect.
Any service offered under this section will identify MachX and provide access to these Terms, the Privacy Policy, help information, a current support contact, and any sender or business information required by applicable law in both its opt-in flow and its initial message. The initial message will include direct links to these Terms and the Privacy Policy and instructions to reply STOP to opt out or HELP for assistance. Text messages are not an emergency service. Delivery and response times depend on mobile networks and service providers and are not guaranteed. Opting out of text messages does not withdraw a separate email, in-app, or account communication choice, and does not prevent a non-marketing communication through another method when it is necessary to provide a service you requested, protect an account, or comply with law.
X. Third-party services and links
The Services may integrate with or link to Microsoft, Google, Apple, social networks, or other third parties. Links are provided for convenience unless we expressly state otherwise. MachX does not control, approve, or endorse third-party services and makes no representation or warranty about their products, content, availability, security, or privacy practices.
If you access a third-party service, you do so at your own risk and subject to that third party’s terms and privacy practices. MachX is not responsible for third-party services or for any loss or damage arising from your use of them, but this does not limit responsibilities that cannot be excluded under applicable law.
XI. MachX intellectual property
MachX and its licensors retain all rights in the Services, including software, designs, interfaces, text, graphics, audiovisual material, trademarks, logos, models, documentation, and technology, excluding Your Content. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose while you remain authorized.
No rights are granted to use MachX names, marks, logos, visual identity, or promotional material except as expressly permitted in writing or by applicable trademark law.
XII. Modifications to these Terms and the Website
We reserve the right, in our sole discretion, to revise and update these Terms from time to time. Except where applicable law or a written agreement requires otherwise, any modification is effective immediately upon posting and applies to all access to and continued use of the Website and Services thereafter. The updated version will state its effective date, and we will provide any additional notice of material changes required by applicable law or a written agreement. You agree to review these Terms periodically so that you are aware of any changes. Your continued use after revised Terms are posted constitutes your acceptance of those changes.
The Website, Services, and any information or material they contain may be changed, withdrawn, suspended, or terminated at any time, in our sole discretion, without notice except where applicable law or a written agreement requires notice. Availability may also be affected by maintenance, provider outages, security incidents, legal requirements, device compatibility, network conditions, or events beyond our reasonable control. To the fullest extent permitted by applicable law, we will not be liable if all or any part of the Website or Services is restricted to users or unavailable at any time or for any period.
XIII. Suspension and termination
You may stop using the Services at any time and may sign out through your account. Subscription preferences are managed separately through the relevant unsubscribe process.
MachX may suspend or terminate access when an account is no longer authorized, when required by an organization administrator, for material or repeated violation of these Terms, to address security or legal risk, or when a Service is discontinued. Where appropriate, we will provide notice and a reasonable opportunity to address the issue.
Terms that by their nature should survive termination—including ownership, disclaimers, limits of liability, dispute provisions, and obligations concerning prior use—will survive.
XIV. Disclaimers
Subject to rights and warranties that cannot lawfully be excluded, the Services are provided “as is” and “as available.” To the fullest extent permitted by applicable law, MachX makes no representation or warranty beyond those expressly stated in these Terms or a separate written agreement that applies to the Service.
MachX does not promise that the Services will always be available, uninterrupted, error-free, or completely secure, or that content or outputs will be accurate, complete, current, suitable for a particular decision, or achieve a particular result. Mandatory warranties and consumer rights remain unaffected.
XV. Limits of liability
For consumers in Quebec, the limitations in this section do not apply where prohibited by the Quebec Consumer Protection Act.
To the fullest extent permitted by applicable law, MachX, its affiliates, and their respective directors, officers, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss or damage arising from or relating to the Services, their content, or your access to, use of, reliance on, or inability to use them.
Nothing in these Terms excludes or limits any liability, warranty, right, or remedy that cannot lawfully be excluded or limited, including liability for intentional or gross fault or for bodily or moral injury. Rights and remedies under applicable consumer-protection law remain unaffected.
XVI. Disputes and governing law
Before starting formal proceedings, we encourage you to contact the MachX legal team through the protected contact entry and describe the issue and the resolution you are seeking. This informal step does not prevent either party from seeking urgent relief or taking action within an applicable limitation period.
These Terms and any dispute or claim arising from or relating to them or the Services are governed by the laws of the Province of Quebec and the federal laws of Canada applicable in Quebec, without regard to conflict-of-law rules.
Unless applicable law gives you the right to bring a proceeding in another forum, proceedings must be brought before a court of competent jurisdiction in the Province of Quebec, Canada. Nothing in this section limits a consumer’s right to bring a proceeding, including a class action, before a court or other forum available under applicable law or deprives a consumer of mandatory protections that apply in their place of residence.
XVII. General terms

- Severability: If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue.
- No waiver: A failure to enforce a provision is not a waiver.
- Entire agreement: These Terms, the Privacy Policy, and any applicable written service agreement form the agreement concerning your use of the Services.
